Meaning and transaction use
The World Bank PPP resource explains that O&M arrangements can include output requirements and performance incentives. Allocation of asset-condition and replacement risk varies with the structure. The agreement therefore needs to be read as a complete allocation of tasks, risks and payments. [S1]
Proposed review method: create an obligation matrix linking each operating requirement to its measurement method, data source, reporting deadline and contractual consequence. Reconcile the maintenance programme with the financial model and identify which party funds routine work, major replacements and end-of-term obligations.
Worked example
Illustrative monthly payment only. Assume a USD 100,000 fixed operator fee, an earned USD 8,000 performance incentive and an applicable USD 15,000 service deduction. Assume the contract permits both adjustments and no cap, tax or other adjustment applies.

The assumed payment is USD 93,000. Reconcile the incentive and deduction to measured performance and the contract. Assess the project company's remaining repair costs and revenue consequences separately; this payment calculation does not measure its total loss.

List included assets, operating tasks, maintenance duties and interfaces with other contractors.
Set measurable obligations
Map standards, availability tests, measurement periods and permitted exclusions.
Reconcile payment and cost
Model fees, indexation, incentives, deductions and allocated replacement expenditure.
Plan monitoring and transition
Assign reporting owners, escalation routes and end-of-term handover responsibilities.

Common errors to check
- Budgeting the fixed fee while omitting allocated lifecycle expenditure.
- Using an availability measure without defined exclusions and measurement periods.
- Assuming deductions reimburse every project loss.
- Leaving asset condition and handover evidence until the final contract year.
Connect the operating contract to the model
Prepare the O&M scope, performance schedule and lifecycle budget for a project-finance review. Identify gaps between the contractual obligations and forecast operating costs before setting the financing case.
