Pro rata right

Calculate an eligible investor's participation entitlement in a future financing and manage the notice, election and allocation process.

Meaning and transaction use

An SEC-filed instrument grants an investor the right to purchase its pro rata share of preferred stock in the next financing and defines the ratio using conversion shares over fully diluted common shares before the financing. [S1]

An SEC-filed SAFE form requires a pro rata rights agreement above a stated purchase amount unless the financing documents already provide the right. [S2]
